About The Opportunity
Our client is seeking an intermediate-to-senior Corporate / Tax Lawyer to join its established practice. The successful candidate will step into a busy practice with immediate access to high-quality files and a strong existing client base.
This role is ideal for a lawyer who enjoys working closely with business owners and private companies while handling sophisticated legal matters that combine corporate law, tax strategy, and practical business advice. While experience with tax reorganizations is highly desirable, the firm is open to candidates with strong corporate/commercial backgrounds who are interested in expanding their expertise in tax and restructuring work through mentorship and hands-on experience.

About The Position
Reporting directly to the firm's partners, the successful candidate will manage a broad range of corporate and commercial matters for privately held businesses and their owners.
Responsibilities include:
- Advising clients on corporate and commercial transactions.
- Structuring and completing share and asset purchase transactions.
- Drafting and negotiating letters of intent, share purchase agreements, shareholder agreements, and related transaction documents.
- Managing client relationships and acting as a trusted advisor throughout transactions.
- Advising on corporate reorganizations, succession planning, and tax-efficient business structures.
- Collaborating with accountants and other professional advisors to implement planning strategies.
- Assisting with estate freezes, family trusts, management buyouts, and ownership transition planning.
- Independently managing files and successfully closing transactions.
The Requirements
- 3–10+ years of corporate/commercial law experience.
- Ability to independently manage files and close transactions.
- Strong experience drafting and negotiating share purchase agreements, letters of intent, and related corporate/commercial documentation.
- Excellent client relationship management and communication skills.
- Professional and collaborative approach when working with clients, accountants, and referral sources.
- Strong analytical, organizational, and problem-solving abilities.
- Desire to build a long-term practice and contribute to the growth of the firm.
- Experience with tax reorganizations and tax planning matters.
- Exposure to estate freezes, family trusts, and corporate restructuring transactions.
- Familiarity with tax rollovers and reorganization strategies.
- Experience advising owner-managed and privately held businesses.
- Interest in developing expertise in tax-driven corporate planning and succession matters.
- Competitive base salary $130,000-$180,000+, commensurate with experience
