About the Position
Reporting directly within the Corporate and Securities team, you will work closely with two other paralegals to manage corporate records, due diligence, and documentation for a variety of corporate transactions. Key responsibilities include:
- Supporting corporate and commercial transactions, including share and asset purchases, private placements, financings, and reorganizations
- Preparing and filing documents for incorporations, amalgamations, dissolutions, restorations, name changes, and extra-provincial registrations
- Conducting due diligence and reviewing corporate minute books
- Maintaining corporate records for multiple business entities
- Drafting resolutions, agreements, and regulatory filings
- Assisting with mergers, acquisitions, financings, and other complex transactions
- Communicating with clients regarding documentation and transaction status
- Organizing case files, tracking deadlines, and contributing to process improvements
Must-Haves:
- Paralegal Diploma
- Minimum 8 years of experience in Corporate law
- Experience with corporate records databases (ALF)
- Knowledge of incorporation processes under the Corporations Act and Securities Act
- Proven accuracy, attention to detail, and independent judgment
- Exposure to public companies and securities filings
- Prior experience supporting technology-focused corporate transactions
- Salary range: $90,000 – 120,000
