Our NWT client is looking to hire a motivated and dedicated Corporate Paralegal to join their existing legal team. Reporting to the General Counsel the role will provide a variety of legal and administrative duties across the corporation and its respective companies. This is an exciting opportunity for an individual to gain excellent experience in a culturally and financially rewarding environment. The role can either be a permanent position or a long term contract depending on the preference of the ideal candidate.
Prepares and maintains corporate, commercial and other legal documentation including filing of corporate forms at applicable corporate branches
Registers and maintains business names
Prepare documents required to form corporations as well as amendments, dissolutions and revivals
Submits documents for registration with appropriate agencies e.g., Corporate Registry, Land Titles, etc.
Undertakes corporate compliance functions consistent with legislation and corporate by-laws, including annual filings and preparations for periodic meetings
Acts as a liaison between clients and counsel when counsel is unavailable and coordinates and liaises with outside legal counsel
Updates and maintains corporate records and minute books and ensures documents comply with the applicable legislation and are entered into the database
Ensures all notices required to be given to all members, directors, auditors and members of committees are duly provided
Sets up and maintains records management systems, including classifying and coding electronic and hardcopy files for the Legal Library filing system
Assists in researching data and projects accessing on-line legal resources as needed
Assists General Counsel and other staff as needed
The Ideal Candidate:
Completion of a Paralegal Diploma / Certificate
5 years of experience as a Corporate Paralegal or Equivalent training / experience
Knowledge of legal systems and corporate legal practices
Excellent oral, written and English communication skills
Technologically proficient in Corporate Records, Microsoft Word, Excel and Outlook
Ability to establish and maintain effective working relationships with internal and external stakeholders
Ability to conduct legal research and prepare related documentation
